We Need Your Help - Please Send In Your 2009 Proxy!
As noted in recent newsletters
and mailings to owners there was a recent change made
to Board Member term limits by the Florida Legislature.
These changes made our existing documents and the
term limits they granted, written in 1992, no longer
valid.
The new regulations offer only
a default term of 1 year or an option for a two year
term if approved by a majority vote of the ownership.
It is the view of the Board and Management that having
all Board Members be required to run for election
each year is not in the best interest of the Association.
It means more costs and the potential for a disruptive
change should all members be changed in a single year.
It would discourage long term planning and continuity
of approach to resort management, maintenance and
upgrades.
The option is to have staggered
2 year terms for Board Members. Using that approach
no more than 50% of the Board could be changed each
year offering some level of continuity and accountability.
Based on the two available options
the Board authorized a modification of the Association
Documents to allow for 2 year, staggered terms. As
with any change to the Association Documents, which
are the very basis of your ownership obligations and
rights, such a change must be voted on by all owners.
In order to approve a change there must be a majority
of votes voting "yes" and at least 50% of
all owners must take part in the vote. These are hard
numbers to obtain (our usual annual Proxy return is
between 20-25% of all owners) so this is a critical
request for 2009.

If you have already returned your bylaws amendment
proxy, thank you for your support. It is not necessary
for you to send your proxy a second time.
Also remember to vote for your choice of Board candidates
(2 seats are available for 2009)

Annual Meeting
On March 21, 2009
at 9AM the Annual Owners meeting will be held at the
Clubhouse, 2nd Floor Sales Room. This important annual
meeting will include presentations from our Independent
Auditor, the BOD, VRI, Resort Management and much
more. Topics are sure to include the 2010 Unit Renovation,
financial status of the Association and more. This
year we also have a proposed change to the Association
documents t
o bring them into compliance with recently enacted
revisions to Florida law governing timeshares and
condominiums. We need your vote to make the change.
PLEASE remember to return your proxy/ballot and let
your voice be heard. We also welcome all owners who
can attend to come to the this always informational
annual get together.
